The best NDA template for freelancers and agencies in Saudi Arabia: how to choose the source
For a freelancer, the NDA is a document that comes back with every client, so the source you take it from matters as much as its clauses. This guide sets out the real options and says when each one fits.
Freelancers, consultants and small agencies work inside other people's information: a client file, a price list, a launch plan, source code, campaign data. In the other direction they show the client their methodology, tools and proposals before any contract is signed. So the NDA is not a rare document for a big deal. It comes back with every new client, usually at the proposal and evaluation stage, before the services agreement itself.

Because the agreement repeats, you are not looking for a lavish one-off text but for a reliable one you can reuse quickly at a sensible cost. These six criteria decide the choice, and each comes from the clauses that settle a dispute later.
- Direction: do you disclose, does the client disclose, or both? A mutual agreement suits sensitive information flowing both ways, and a one-way agreement suits a flow that runs in a single direction.
- The definition of confidential information and its exclusions: broad enough to cover what you mean to protect and specific enough for a judge to see it, with fair exclusions for information that is public, already known, independently developed, or required to be disclosed by law.
- Duration: separating the term of the agreement from the survival of confidentiality after it ends, typically two to five years for ordinary information, with open-ended protection for trade secrets for as long as they stay secret.
- Remedies: the right to seek to stop disclosure and to claim compensation, and an obligation to return or destroy materials when the relationship ends.
- Language and grounding: an authoritative Arabic text beside the English if the client does not read Arabic, and a reference to Saudi law and a dispute forum in the Kingdom, not to another country's law.
- Cost and repetition: what you pay each time you need a fresh copy for a new client, and how long it takes to fill in.
The options you really have, and who each one suits
No government body issues an NDA, so the source is your choice. What follows describes each option as it appeared on its public pages on 3 October 2026.
- Free templates from websites and law firm blogs: fine for a low-stakes NDA if you check the Arabic, the naming of the parties, the term, the definition of confidential information, and the remedies and dispute forum yourself. Their usual limits: no update date, an unknown author, no matching Arabic and English text, and an unknown fit with Saudi rules.
- Hoquqi: a Saudi law firm that publishes a registry of its templates. The registry lists an NDA at 100 riyals, but we did not find it for sale in its store on 3 October 2026, when the store listed seven products: four 30-minute consultations at 99 riyals each, and three bundles. Its templates are Arabic only, in Word, completed by hand, and it advises a lawyer's review for unusual or disputed matters.
- Signit: a Saudi e-signature and contract management platform. Its site says it offers templates including NDAs in Arabic and English, but we did not find a public catalogue of them, their titles or who wrote them, nor published prices on its pricing page. Its more important strength is the signing itself: it says its e-signature is legally binding, with identity checks through Absher, Nafath and Wathq.
- Adel: an AI legal assistant that creates a document through a smart questionnaire, reviews contracts and flags what it sees as gaps and risks, in Arabic and English, and names NDAs among what it offers startups. Basic is 124 riyals a month (25 documents created, 10 reviewed) and Premium 165 riyals a month (50 created, 25 reviewed); the pricing page states neither VAT nor an annual price. It is built first for legal professionals, and we did not find a claim of human lawyer review of its output.
- Genie AI: an international AI drafting platform priced in US dollars (Pro is $75 a month), whose Free plan locks exports until you upgrade, according to its pricing page. It has NDA template pages labelled for Saudi Arabia, but they are in English, we found no Arabic output, and its terms say it does not offer legal advice.
- A lawyer by the hour or by the task: the right choice for a high-value deal, a core trade secret, or an NDA the client sent that needs a specialist read. Pricing is quoted case by case. One platform that offers this is Shwra, whose consultations start at 149 riyals including VAT for 20 minutes, and which says it offers contract review by licensed lawyers.
- Sighaty: a mutual NDA C-08 and a one-way NDA C-09, certified under the name of a licensed Saudi lawyer, in one Word document in Arabic and English. The mutual C-08 is one of the nine documents available on the Free plan, so a freelancer can have it free with no card. Its limits are in section four.
Which option fits which situation
- An exploratory meeting with a client where little is exchanged: a free template after checking the five points, or C-08 free from Sighaty if you want a certified Arabic and English text.
- You and the client exchange sensitive pricing, code or customer data: a mutual agreement, which is usually quicker to sign because the other side sees it as even-handed.
- Only you disclose, for example when pitching your idea to an investor or partner: a one-way agreement such as C-09.
- The client sent its own NDA and wants it signed: Sighaty does not review a contract someone else sent you. Your choice is a lawyer who reads it, or a review tool such as Adel, which says it detects gaps and inconsistencies, and the decision then stays with you.
- You need a remote signature with an identity check on the other party: a signing platform such as Signit, on which you can sign a text prepared from any source.
- A high-value deal, a trade secret that is the core of your business, or a live dispute: a lawyer, with the template as a starting point and nothing more.
- You will access personal data of the client's staff or customers: a general confidentiality clause is not enough, and you need a separate data processing agreement such as I-04 under the Personal Data Protection Law.

A checklist for testing any option before you pay
- Work out the direction of information: who discloses to whom, so you know whether you need mutual or one-way.
- Open the definition of confidential information and read the exclusions: does it cover what you will actually show, and are the exclusions fair?
- Find the term, the survival after it ends, and the protection of trade secrets for as long as they stay secret.
- Read the final clauses: governing law and dispute forum, then make sure there is an authoritative Arabic text.
- Ask who stands behind the text and when it was last updated, and what you pay for each new client.
- Decide how you will sign: by hand or on an e-signature platform, and make sure each signatory has the capacity to sign for its side.
Common mistakes freelancers make
- Pitching first and signing later: information that is out is hard to claw back, so the rule is to sign before sharing any secret.
- Signing the client's NDA unread: it may carry obligations wider than confidentiality, such as non-solicitation of staff, or a duration that does not suit your work.
- Mixing up your personal name and an entity: name the parties precisely, since the signatory is either you personally under the freelance work document or a registered entity if the client requires one.
- Relying on a translated template that points to another country's law: translation carries the wording over without correcting its legal grounding.
- Assuming the NDA replaces the services agreement: it protects information only, while scope, fees and ownership belong in the services agreement.

How long should confidentiality last after an NDA ends?
For ordinary information, two to five years after termination is reasonable and accepted. Trade secrets are better kept protected for as long as they remain secret and valuable, because they do not lose value when a fixed term expires, so separate the two periods in the drafting.
Do I need a separate NDA if my services agreement has a confidentiality clause?
If the contract has a well-drafted mutual confidentiality clause, that is usually enough. But if you will see sensitive information before signing, at the proposal and evaluation stage, sign a standalone NDA first, such as C-08. If the matter extends to processing personal data on the client's behalf, what you need is a data processing agreement.
