The Demand Letter: A Ready Template to Collect Your Invoices and Debts

How to write a strong demand letter and prove its delivery before turning to the execution court.

A client falling behind on an invoice does not mean the money is lost. The first and smartest step in collecting any debt is the financial demand letter, a formal written document in which you require the debtor to pay a specific amount within a clear deadline. A well-drafted letter delivered through a provable method resolves many cases without a court, and at the same time becomes indispensable written evidence if you later need to file an execution request.

Many business owners demand payment verbally through calls and messages, then discover when they go to court that they have nothing to prove they actually demanded payment and granted a deadline. A documented demand letter closes this gap: it fixes the debt, its basis, the amount and the deadline, and is delivered in a way that leaves a trace you can produce.

The Mandatory Elements of a Demand Letter

The strength of the letter comes from its clarity and precision, not the harshness of its tone. Any effective demand letter must contain these elements to be complete and capable of being relied upon before the competent authorities.

  • Creditor identity: the full name of the business or person, the commercial registration or ID, and the National Address and contact details.
  • Debtor identity: full name, registration or ID, and National Address, because accurate debtor data is a later condition at the execution stage.
  • The debt and its basis: the source of the obligation clearly, such as an invoice with its number and date, a contract, an instrument, or a service rendered.
  • The exact amount: the principal in figures and words, any other agreed amounts due, and the currency (Saudi Riyal).
  • A clear deadline to pay: a specific final date, for example fifteen days from receiving the letter, with the payment method stated.
  • The consequence of non-payment: an explicit notice that you will take the lawful measures, including execution, if the amount is not paid within the deadline.

State the Deadline Firmly and Clearly

The deadline is the heart of the letter. Without a specific final date the letter remains a friendly reminder with no legal weight. Make the deadline reasonable but firm, tie it to the date of receipt rather than the date of writing, and state clearly what will happen after it lapses.

Proven Delivery Methods

A letter whose delivery you cannot prove is as if it was never written. Choose a method that leaves a documented trace you can later produce, and prefer combining more than one channel to strengthen proof.

  • Registered or express mail to the debtor's National Address, while keeping the dispatch receipt and the delivery notice.
  • Delivery via the approved National Address, the official address on which lawful notices and notifications are built.
  • Documented electronic delivery, such as the verified email agreed in the contract, while keeping the send and receipt log.
  • Hand delivery against the debtor's signature or stamp on a copy of the letter with the date, where this is practical.

Always keep a copy of the letter and the proof of its delivery in one file together with the invoice or contract, because this file is what you will build the execution request on later.

The Next Step if the Debt Is Not Paid

If the deadline lapses without payment, Saudi Arabia provides relatively fast, document based enforcement paths. Having a documented demand letter strengthens your position in any of these paths.

  1. If your debt is established by an enforcement instrument (such as a promissory note, a judgment, or a commercial paper), file an execution request directly through the Najiz portal before the Execution Court.
  2. If you do not have an enforcement instrument, first obtain a judgment or a payment order establishing the debt, then take it to execution.
  3. For future protection, ask your clients to sign a promissory note through the Nafith platform at the start of dealing, as it is an enforcement instrument that greatly shortens the path upon default.
  4. After the execution request is accepted, the Execution Court addresses the relevant bodies to compel the debtor, which may include seizing accounts and assets and suspending certain services until payment.

Mistakes That Weaken Your Demand Letter

  • Leaving the amount or the basis of the debt vague, or stating an amount that does not match the invoice and contract.
  • Failing to set a deadline, or settling for a phrase like "as soon as possible" instead of a clear date.
  • Using a threatening or insulting tone, since firmness lies in the clarity of the lawful step, not in emotional phrasing.
  • Sending through a method that leaves no trace, such as a phone call or a fleeting message that cannot be proven.
  • Not keeping a copy of the letter and proof of its delivery within the debt file.

Frequently asked questions

Is a demand letter required before turning to the Execution Court?

If you have an enforcement instrument such as a Nafith promissory note or a judgment, you can file the execution request through Najiz directly. Even so, a documented demand letter remains very useful because it proves you demanded payment and granted a deadline, and it often opens the door to an amicable settlement that saves you time and cost.

What is a suitable deadline period in the letter?

There is no single binding period for all cases, and in practice it is common to grant between seven and fifteen days from the date of receipt. Make it reasonable enough to allow the debtor to pay, firm enough to preserve your right, and always tie it to the date of receiving the letter rather than the date of writing it.

What if the debtor's address or data is inaccurate?

Accurate debtor data matters because it is a condition at the execution stage. Rely on the debtor's official National Address whenever possible, and draw the data from the contract, the commercial registration, or the ID. If sufficient data is not available, you may need a prior judicial path to establish the debt and identify the debtor before execution.
