أحدث نظام السجل التجاري الجديد، الذي دخل حيّز التنفيذ في عام ٢٠٢٥، تغييراً جوهرياً في طريقة التعامل مع السجل التجاري. فلم يعد للسجل تاريخ انتهاء، ولم تعد هناك حاجة إلى تجديده دورياً كما كان الحال سابقاً. أصبح السجل التجاري سجلاً واحداً موحّداً ودائماً للمنشأة، يبقى قائماً ما دامت المنشأة قائمة.

The new Commercial Register Law, which took effect in 2025, fundamentally changed how the commercial register is handled. The register no longer carries an expiry date, and it no longer needs to be renewed periodically as it did before. The commercial register has become a single, unified, permanent record for the business that remains in place for as long as the business itself exists.

لكن إلغاء التجديد لا يعني انتهاء التزاماتك. فقد حلّ محلّ التجديد التزامٌ جديد اسمه التأكيد السنوي لبيانات السجل التجاري، وهو إجراء سنوي بسيط لكنه إلزامي، يهدف إلى التحقق من أن بيانات منشأتك ما زالت صحيحة ومحدّثة لدى وزارة التجارة.

But removing renewal does not remove your obligations. In its place came a new requirement called the annual confirmation of commercial register data, a simple but mandatory yearly step whose purpose is to verify that your business data is still accurate and up to date with the Ministry of Commerce.

From renewal to confirmation: what exactly changed

في النظام السابق كان لكل سجل تجاري مدة محددة، وكان على التاجر تجديده قبل انتهائها ودفع رسوم التجديد، وإلا تعرّض السجل للإلغاء. أمّا في النظام الجديد فقد أُلغي مفهوم انتهاء السجل تماماً.

Under the old system every commercial register had a fixed term, and the merchant had to renew it before that term ended and pay a renewal fee, otherwise the register would be cancelled. Under the new system the very concept of the register expiring has been abolished.

أُلغيت السجلات الفرعية، وأصبح للمنشأة سجل واحد موحّد يغطّي جميع فروعها داخل المملكة.

The commercial register is now permanent and does not lapse with time.
Branch registers were abolished, and the business now has one unified register covering all of its branches across the Kingdom.
An annual confirmation of data replaced periodic renewal and is now a standalone yearly obligation.

What the annual confirmation requires

التأكيد السنوي إجراء بسيط في جوهره: أنت تؤكّد للوزارة أن بيانات سجلك التجاري ما زالت صحيحة، أو تُحدّث ما تغيّر منها. يشمل ذلك مراجعة المعلومات الأساسية للمنشأة قبل اعتماد التأكيد.

The annual confirmation is simple in essence: you confirm to the Ministry that your commercial register data is still correct, or you update whatever has changed. This involves reviewing the core information of the business before approving the confirmation.

بيانات المنشأة الأساسية مثل الاسم التجاري والنشاط ورأس المال.
بيانات الملّاك أو الشركاء وحصصهم، وبيانات المدير أو المفوّض.
العنوان الوطني ووسائل التواصل المعتمدة للمنشأة.
أي تغييرات طرأت خلال العام ولم تُسجَّل بعد لدى الوزارة.

Core business data such as the trade name, activity, and capital.
Owner or partner data and their shares, and the manager or authorized person details.
The national address and the business's approved contact details.
Any changes that occurred during the year and have not yet been recorded with the Ministry.

إذا لم يطرأ أي تغيير، فالتأكيد لا يعدو كونه إقراراً بصحة البيانات القائمة. وإذا طرأ تغيير، فهذه هي المناسبة لتحديثه قبل اعتماد التأكيد.

If nothing has changed, the confirmation is no more than an acknowledgement that the existing data is correct. If something has changed, this is the occasion to update it before approving the confirmation.

The annual confirmation date is tied to the issuance date of the commercial register itself, meaning it falls each year during the anniversary period of the register's issuance. The date therefore differs from one business to another according to its registration date, so it is important to know your register's date precisely.

Identify your commercial register's issuance date as recorded on the register.
Work out the annual anniversary period of that date, which is your confirmation window each year.
Log in to the Ministry of Commerce electronic platform within that period and review your data.
Update whatever is needed, then approve the annual confirmation before the period closes.
Add the date to your compliance calendar so the system reminds you of it every year.

Despite the simplicity of the procedure, ignoring it carries effects that escalate from a financial fine to the eventual possibility of the register being cancelled. Treating the confirmation as a routine yearly task is the best safeguard.
