Must a real meeting be held, or is a written circulation signed by the partners enough?

If you choose the general assembly it asks for the venue and the quorum percentage and the preamble comes out in meeting form; if you choose written circulation the wording is issued on the basis of partners approving in writing without a meeting. Your company's articles of association govern which is appropriate.

The managers' or board resolution covers executive matters inside the management body's authority, such as delegating bank signing within a defined limit.
