An IP assignment agreement transfers ownership of a work or an intellectual asset from one party to another in full, unlike a licence, which keeps ownership with its holder and grants limited use. A business needs it when it buys a logo, a design, software code, or content from a freelancer or a company, and when it transfers its own rights in an intellectual asset as part of a deal or a restructuring. الاتفاقية تحسم سؤالاً واحداً بوضوح: من يملك الأصل الفكري بعد إتمام الصفقة. سداد الفاتورة وحده لا يكفي دليلاً على انتقال الملكية، والرسائل المتبادلة لا تصلح سنداً عند أول خلاف أو عند فحص نافي في صفقة استثمار. تحتاج الاتفاقية كلما أردت أن تنتقل الملكية كاملة بدل الاكتفاء بحق استخدام، وكلما أردت وثيقة واحدة تُبرزها للمستثمر أو المشتري أو الجهة المختصة.

The agreement settles one question cleanly: who owns the intellectual asset once the deal is done. Paying the invoice alone is not proof that ownership moved, and an exchange of messages is no basis at the first disagreement or under due diligence in an investment round. You need this agreement whenever ownership should pass in full rather than as a mere right of use, and whenever you want a single document to show an investor, a buyer, or a competent authority.

النقل يُخرج الأصل من ملكية الناقل نهائياً فيصبح المنقول إليه هو المالك، أما الترخيص فيُبقي الملكية لصاحبها ويمنح الطرف الآخر حق استخدام محدوداً بمدة ونطاق. إن كان مرادك منح استخدام لا تملّكاً، فالنموذج المناسب هو ترخيص العلامة التجارية I-02 وليس هذه الاتفاقية.

An assignment takes the asset out of the assignor's ownership for good, so the assignee becomes the owner, while a licence keeps ownership with its holder and grants the other party a right of use limited by term and scope. If your intent is to permit use rather than transfer ownership, the right template is the Trademark License I-02, not this agreement.

An invoice evidences payment, not a transfer of ownership. A written agreement signed by both parties is what documents the transfer and defines its scope, which is why investors and buyers ask for it during due diligence. Signing this agreement when the work is delivered is far easier than chasing a designer or developer after the relationship has ended.

The template offers both, and the default is the commercial court because it is the familiar and lower-cost route for most small businesses. Some parties prefer arbitration at the Saudi Center for Commercial Arbitration when the deal is large, when one party is foreign, or when confidentiality matters, and the choice stays with the parties at fill-in.
