A master services agreement is the answer when engagements repeat between the same two parties. Instead of signing a full new contract for every project, the master agreement is signed once and fixes the standing legal clauses: confidentiality, intellectual property, liability limits, indemnity, and the governing law and dispute forum. A Statement of Work is then appended for each engagement carrying the description, deliverables, milestones, consideration, and acceptance criteria. A master agreement separates what stays fixed from what changes. The fixed part is the legal framework that is not renegotiated each time, and the variable part is the Statement of Work: what exactly will be delivered in this engagement, for what consideration, on what schedule, and against which acceptance criteria. The practical difference is that a new project needs no full legal review cycle, only a signed Statement of Work referring back to the master agreement. This template suits a repeat or long-running relationship, not a single closed engagement, which is the place of the Services Agreement C-01.

The smart-fill questions in this template are few and focused, because most of what changes between projects lives in the Statement of Work rather than in the body of the agreement. It first asks a pivotal question: may work start on a written purchase order that references this agreement, or does work start only on a signed Statement of Work? Your answer actually changes the drafting of the ordering clause. It then asks for the acceptance review window per deliverable in business days, the invoice payment period in days, the initial agreement term in months before automatic renewal, and the non-renewal notice before each term ends. Finally it asks for the name and capacity of the Party 1 signatory, the Client, and the name and capacity of the Party 2 signatory, the Provider.

لاحظ نقطتين في بنية هذا النموذج. الأولى أن الاتفاقية تحدد الطرفين بالإحالة إلى خانة التوقيع، فتُلتقط أسماء الطرفين وصفاتهما هناك بدل تكرارها في مقدمة منفصلة. والثانية أن نموذج نطاق العمل الملحق، بما يحمله من رقم وتاريخ ووصف للنطاق والمخرجات والمراحل والجدول الزمني والمقابل وخطة الدفع ومعايير القبول والكوادر الأساسية والشروط الخاصة، جدول يُعبّأ يدوياً عند كل تكليف ولا يملؤه الاستبيان. هذا مقصود: النموذج يُوقَّع مرة، والجدول يتكرر بعدد مشاريعك.

Note two points in how this template is built. First, the agreement identifies the parties by reference to the signature block, so the party names and capacities are captured there rather than repeated in a separate preamble. Second, the appended Statement of Work form, with its number and date, scope and deliverables, milestones and timeline, fees and payment plan, acceptance criteria, key personnel, and special terms, is a table filled in by hand at each engagement and is not populated by the questionnaire. That is deliberate: the agreement is signed once, and the form repeats as many times as you have projects.

A master agreement usually fails at one point: the relationship between it and the Statement of Work. The template is built on an initial term that renews automatically unless one party gives notice of non-renewal. During fill-in you set the length of the initial term in months and the non-renewal notice period before each term ends. Setting both in writing prevents the common situation where one party assumes the agreement has lapsed while the other is still relying on it.
