What confuses small companies is rarely appointing a manager; it is the vagueness of his limits: whether he signs a large annual contract alone, whether he moves funds from the company account without reference to anyone, and when he needs partner approval. The absence of these limits means either paralysis in decision-making or open exposure. التعيين وحده لا يكفي: البنك يسأل عن حد التوقيع، والمورّد يسأل عمّن يملك إلزام الشركة، والشركاء يسألون متى يُرجع إليهم. مصفوفة الصلاحيات تجيب عن ذلك بجدول واحد يربط نوع القرار بسقفه المالي وبمن يوقّعه: ما يقرره المدير منفرداً، وما يحتاج توقيعاً مزدوجاً فوق حدّ معين، وما لا يمر إلا بقرار الشركاء. وهي أيضاً حماية للمدير نفسه، لأنها تحدد أين تنتهي مسؤوليته الشخصية.

The appointment alone is not enough: the bank asks about the signing limit, the supplier asks who can bind the company, and the partners ask when they must be consulted. The authority matrix answers all of that in a single table linking each type of decision to its financial ceiling and its signatory: what the manager decides alone, what needs a second signature above a set threshold, and what passes only by a partners' resolution. It also protects the manager himself, because it marks where his personal responsibility ends.

It then moves to the matrix itself, asking for the financial ceilings you choose at each level: the cap on what the manager decides alone, the threshold above which a second signature is required, the limit that may be exceeded only with the partners' approval, and the maximum annual value of a contract the manager may conclude. Both options are in the template and you choose between them during fill-in, so the reference in the appointment document matches what you selected. The difference is practical: an employment contract falls under the Labor Law with the obligations an employer owes an employee, while a services agreement is a contractual relationship of a different nature. The template offers both: a fixed term of a number of years you choose, or a continuing appointment until removal. A fixed term forces a periodic review of the appointment, while an open appointment is simpler administratively but makes review a decision someone has to initiate. Your articles of association and what the partners agreed govern the choice in your case.

The matrix sets the internal limits clearly and is read together with the appointment resolution, and it is the basis on which you build the signing delegation. A bank usually also asks for a resolution in its customary form naming the delegates and their limits, and the F-03 resolutions set covers that side so the two documents agree on figures and names.
